Welcome to Simply Compliant LLC (“Company Name,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of our automated compliance training platform, website, and related services (collectively, the “Service”).
By registering a company or branch, creating an account, clicking a box indicating acceptance, or otherwise accessing the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company, brokerage, or other legal entity, you represent that you have the authority to bind such entity and its affiliates to these Terms. If you do not agree to these Terms, you must not access or use the Service.
1. Definitions
- “Account” means the corporate or branch portal created by a Subscriber to manage and access the Service.
- “Branch” means a distinct geographic or operational office or business unit registered by a Subscriber under a mandatory subscription tier.
- “Subscriber” (“you” or “your”) means the legal entity, independent mortgage brokerage, or authorized individual purchasing the subscription to the Service.
- “User” means any employee, independent contractor, loan originator, or agent authorized by the Subscriber to access the training modules within a registered Branch.
- “Subscriber Data” means all information, documents, user rosters, or completion records uploaded, processed, or generated by the Subscriber or its Users through the Service.
2. Eligibility and Account Registration
- Commercial Use Only: The Service is a business-to-business (B2B) platform designed strictly for professional compliance training. It is not intended for personal, family, or household consumer use.
- Account Responsibility: You must provide accurate, current, and complete information during registration. You are entirely responsible for maintaining the confidentiality of account credentials and for all activities, data modifications, or training completions that occur under your Branch Accounts.
- User Access: Access to the Service is restricted to the specific number of Users or baseline rules assigned to your subscription tier. Sharing user credentials outside of the assigned individuals within a Branch is strictly prohibited.
3. Subscription Terms and 12-Month Commitment
- Minimum Commitment Period: By registering a Branch and executing an order or checking the agreement box at checkout, you explicitly agree to a minimum, non-cancelable commitment period of twelve (12) consecutive months (the “Initial Term”).
- Early Termination Prohibited: You acknowledge that you are purchasing a fixed-term annual allocation for the registered Branch(es). You cannot cancel, down-tier, terminate, or request refunds for your subscription prior to the expiration of the 12-month Initial Term.
- Automatic Renewal: Upon the expiration of the Initial Term, the subscription will automatically renew on a month-to-month basis at the then-current standard rates, unless either party provides written notice of non-renewal at least thirty (30) days prior to the expiration of the current Term.
4. Fees, Billing, and Payments
- Recurring Billing Authorization: You authorize Simply Compliant LLC to automatically charge your designated credit card, ACH account, or banking method on a recurring basis for the full duration of the 12-month commitment and any subsequent renewal periods.
- Taxes: All fees are exclusive of applicable federal, state, or local sales, use, or excise taxes. You are responsible for paying all taxes associated with your purchase.
- Late Payments: Failure to clear recurring fees within five (5) business days of the due date constitutes a material breach. We reserve the right to suspend platform access for all Users under your Branch until all outstanding balances are paid in full. Suspensions do not relieve your obligation to pay the remaining balance of the 12-month commitment.
- Proration and Tier Upgrades: Your subscription fee is determined by the specific tier, number of registered Branches, or total authorized Users associated with your Account. If, during your 12-month Initial Term or any renewal term, you add additional Users or Branches that cause your Account to exceed your current subscription tier, your Account will be automatically upgraded to the next applicable pricing tier.
- You agree to be billed for the upgraded tier immediately. The difference in cost for the new tier will be prorated based on the number of days remaining in your current monthly or annual billing cycle. Any added Users or Branches will be billed coterminously (aligned with your existing billing schedule) and will be bound by the remainder of your existing 12-month commitment.
- You may not downgrade your tier or request prorated refunds for removed Users or Branches during an active 12-month Term.
5. Intellectual Property Rights
- Our Platform and Content: Simply Compliant LLC retains all right, title, and interest in and to the Service, including all training modules, software, algorithms, user interfaces, branding, compliance templates, and educational materials. No ownership rights are transferred to you.
- Limited License: Subject to continuous payment of subscription fees, we grant you a non-exclusive, non-transferable, revocable license during the Term to allow your authorized Users to access and complete the training courses solely for internal corporate compliance verification.
- Subscriber Data License: You retain ownership of all Subscriber Data. You grant us a worldwide, limited, royalty-free license to host, parse, and display your Subscriber Data solely to deliver the training platform functionality and generate completion certificates.
6. Compliance, Accuracy, and Disclaimer of Legal Advice
- Educational Nature: The Service provides automated, generalized compliance training materials based on prevailing industry standards. Simply Compliant LLC is not a law firm and does not provide legal advice, legal opinions, or formal legal representation. * Independent Review: While we strive to maintain accurate, up-to-date compliance modules, state and federal regulations change rapidly. The provision of the Service does not guarantee absolute statutory compliance for your brokerage. You are solely responsible for ensuring your business practices comply with all applicable local, state, and federal laws, and should review complex legal matters with qualified counsel.
7. Limitation of Liability and Indemnification
- Limitation of Liability: To the maximum extent permitted by law, in no event shall Simply Compliant LLC, its officers, or its affiliates be liable for any indirect, incidental, special, exemplary, or consequential damages (including loss of profits, regulatory fines, audits, or business interruption) arising out of or in connection with the use or inability to use the platform. Our total aggregate liability for any claim under these Terms shall not exceed the total fees paid by you to us during the three (3) months immediately preceding the event giving rise to the liability.
- Indemnification: You agree to defend, indemnify, and hold harmless Simply Compliant LLC from and against any third-party claims, damages, losses, or regulatory actions arising out of your Subscriber Data, a breach of these Terms by your Users, or your brokerage’s reliance on training materials to justify non-compliant operational practices.
8. Dispute Resolution and Governing Law
- Governing Law: These Terms, and any dispute arising out of or relating to them, shall be governed exclusively by the laws of the State of Michigan, without regard to its conflict of laws principles.
- Mandatory Arbitration / Venue: Any unresolved dispute, controversy, or claim arising out of this agreement shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association (AAA), with the venue for such arbitration or legal proceedings established exclusively in Oakland County, Michigan.
9. Miscellaneous
- Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining terms remain fully enforceable.
- Entire Agreement: These Terms constitute the entire agreement between the parties regarding the subject matter and supersede all prior written or oral agreements, understandings, or communications.
